This Terms of Use agreement ("Agreement" or "Terms of Use") constitutes a binding legal contract between you and Gather Health, LLC ("Gather Health" or "us"), applicable to your use of our website (the "Website" or "site") and our offerings, including but not limited to information, webinars, community platform, and digital media events.

By accessing, utilizing, or viewing our Website, you acknowledge and agree to be bound by this Agreement, including our Privacy Policy. If you do not agree with these terms, you are required to discontinue your use of the Website. We reserve the right to modify the contents of the site or this Agreement at any time. Unless a specific effective date is stated, modifications are immediately effective upon posting. We recommend regularly reviewing this Agreement to stay informed of any changes. Continued use of the Website after changes indicates your acceptance of the new terms.

LIMITATION OF LIABILITY & INDEMNIFICATION

Gather Health disclaims all warranties regarding the Website and its content, including without limitation webinars, digital media events, and associated community platform. Users assume all risks associated with the use of our site and content. We are not liable for any damages arising from the use of the Website or its associated community platform and their content. 

You agree to defend, indemnify, and hold harmless Gather Health, its officers, directors, employees, affiliates, agents, licensors/licensees, and suppliers, from and against any claims, demands, actions, injuries (physical, mental, emotional, or otherwise), liabilities and/or settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from: (a) your use of or reliance on, or errors or omissions in, the webinar information, (b) your use of or reliance on the Gather Health website or any links we provide, (c) any content you post or upload, or (d) your violation of the Gather Health Terms of Use and/or Privacy Policy.

REGISTRATION AND PASSWORDS

In order to gain access to the instructional content, you are requested to supply certain personal details such as your full name, email address, contact number, and other identifiable information. You consent to providing accurate, current, and complete information about yourself as required by the site’s sign-up form. Should we have legitimate reasons to believe that the information provided is false, outdated, or incomplete, we reserve the right to put your account on hold or terminate it, thereby denying you any present or future access to the site (or any segment thereof). The handling of any personal identifiable information provided during the enrollment process is subject to our Privacy Policy guidelines.

For participation in the course, you will be prompted to establish a username and password during the enrollment procedure, which shall be exclusive to you. We reserve the exclusive right to decide whether to accept any individual as a course participant and may approve or reject any registration at our absolute discretion.

The course offerings include a variety of interactive elements such as live video streams, webinars, discussion forums, bulletin boards, comment sections, and chat rooms, which provide feedback opportunities to us and facilitate real-time interaction among participants, as well as other features that enable communication among users. Each participant is solely responsible for the content they post or transmit. The control of messages, information, or files delivered through the course by you or others is not our responsibility. As a condition of your participation in our courses, you must not:

Impede any other participant's ability to use and enjoy the course.

Use the course to personate another individual or entity, or to misrepresent your association with a person or entity.

Disrupt or interfere with the servers or network systems involved in providing the site or its functions, or contravene any protocols, policies, or regulations of the networks used by the site.

Illegally access the site, or any associated account, computer system, or network connected to this site, through hacking, password mining, or other unauthorized methods.

Seek or attempt to acquire any materials or information through means not purposely made available on this site.

Do not post or disseminate any material that is illegal, confidential, menacing, abusive, slanderous, defamatory, obscene, vulgar, pornographic, profane, or indecent, including but not limited to any transmission that promotes illegal conduct, incites civil liability, or otherwise breaches any local, national, or international laws.

Do not upload or distribute any data, software, or other material that infringes on the rights of others, including privacy or publicity rights, or is protected by copyright, trademark, or other proprietary regulations, without securing prior consent from the right holder.

Do not upload or distribute any data, software, or other material that contains viruses or other harmful components.

Do not post, transmit, or exploit any information, software, or other material for commercial use, or that includes advertising, without our express written consent.

Do not solicit or advertise to anyone to buy or sell products or services without our express written consent.

Do not collect email addresses or any other personal information posted by other users for marketing purposes.

Do not buy, download, copy any products or services from our course or this site and use them to pirate said content.

Non-compliance with these Terms may result in expulsion from and denial of further access to Gather Health courses in the future. We or our appointed representatives have the authority to modify or remove any user-generated content at any time for any reason. Discussion centers such as message boards, chats, and other public forums are intended for customer dialogue. Content and information posted within these platforms may come from our staff, external contributors, or users (who may use anonymous usernames).

We explicitly disclaim all responsibility and endorsement and make no assertion as to the legitimacy of any opinions, advice, information, or statements presented or displayed in these forums by third parties, nor do we take responsibility for any embedded hyperlinks or message errors or omissions. We, our affiliates, hosts, or agents shall not be held accountable for any losses or damages incurred by your reliance on information obtained through these forums. We are under no obligation to monitor the content or postings on the message boards, chat rooms, or other public forums within our courses and affiliated programs. However, you acknowledge that we reserve the right to oversee these at our discretion. INTELLECTUAL PROPERTY & CONTENT USAGE

The community platform associated with the Website hosts a variety of content, including text, graphics, interactive features and programming, and trademarks, service marks, and logos (collectively "Materials"), which are owned by or licensed to Gather Health under copyright, trademark, and other intellectual property laws. The reproduction, republishing, uploading, posting, transmission, distribution, or commercial use/exploitation of any Materials from the Website and its associated community platform without prior written consent from the rights owner is strictly prohibited. However, you may download information specifically made available for downloading from the Website and its associated community platform for personal, non-commercial use, provided copyright and other proprietary notices remain intact, and no modifications are made to the information. Unauthorized use of the Materials or circumvention of any security features on the Website and its associated community platform is expressly forbidden.

WEBINAR AND DIGITAL EVENT CONTENT AVAILABILITY

Gather Health commits to reasonable efforts to maintain and make available recordings of webinars and digital media events to registered, paid users for six (6) months post-event date. There are no guarantees regarding the availability or quality of these recordings.

USAGE BY MINORS

The Website is not intended for individuals under the age of thirteen (13). By using the Website, you represent that you are at least thirteen years old. Parents or legal guardians permitting minor children to access the Website assume full responsibility for the minor's online conduct and the monitoring and consequences of their site usage.

THIRD-PARTY LINKS & CONTENT

The Website may feature links to third-party websites, over which Gather Health has no control. We are not responsible for the content or availability of these sites. This Agreement does not cover third-party websites. Interaction with any third-party website or mobile app, including those that may be linked through our site, is governed by that entity's own terms and privacy policy. It is your responsibility to review the terms and privacy policies of such sites and entities.

REFUNDS

If you enroll and pay for a webinar or digital media event hosted by Gather Health and cannot view, hear or otherwise experience the program due to a technical interruption or failure on the part of Gather Health or its invited expert/guest speaker, you may request a refund by emailing us at info@gatherwomenshealth.com. If requested, you agree to provide information to document/support your refund claim. Gather Health reserves the right to review and grant/deny all refund requests in its sole discretion.

FORCE MAJEURE

Gather Health is not responsible for failure to fulfill its obligations due to acts of God; acts, orders, or guidelines of government; epidemics, pandemics, or other dangers to public health; fires; floods; riots; terrorist acts; or any other causes, beyond its reasonable control, provided that it will uses reasonable efforts to remedy such failure or delays if reasonable to do so. 

LAW

You understand and agree that your rights hereunder shall be limited to the right to seek monetary damages in an action at law, and in no event shall you be entitled to seek or obtain equitable or injunctive relief with respect to the promotion, distribution, or transmission of the Website, webinars, or content. This Agreement shall be construed under Texas law. 

SEVERABILITY

This agreement, together with our [Privacy Policy] and any click-through agreements and acknowledgments you accept when you use our website and register for our webinars or content, constitutes the entire agreement between the parties.  In the event that any provision hereof is deemed for any reason to be illegal or unenforceable, the same will not affect the validity or enforceability of the remaining provisions hereof. 

ASSIGNMENT

You will not have the right to assign any of your rights or obligations hereunder. Gather Health may freely assign its rights and obligations hereunder without your consent.

RELATIONSHIP 

The parties hereto are independent contractors, and no partnership or employer/employee relationship is intended.
